A UK company must have the appropriate officers for covering all periods in which it is in existence. The register of directors and the register of secretaries must display at all times, the current and past occupants these positions.

Corporate Officers

It is possible for one company to be a director or secretary of another. Company A Limited can be appointed as a director of Company B.

It is not possible (permissible) for a company to be a director or secretary of itself. This Company A could not be a secretary of Company A.

Corporate officers are often used in a nominee capacity, whereby the person incorporating the company wished to remain anonymous or does not wish to use an associate as a company officer.

Registered office

Having a registered office is a legal requirement for all UK limited and unlimited companies. The address must be displayed on all business letterheads and order forms of the company. The Registered Office address need not be the company's place of business, and is often the address of a company that provides company secretarial services such as Valmori Consulting LLP or a solicitor.

It is the address to which all official documents from Companies House, Revenue and Customs and the judicial system relating to the business will be sent.

Our Annual Registered Office fee includes:

• Maintaining Statutory Records in both computerised form and hard copy registers.
• Making these records available for inspection by the general public (in accordance with the Companies Act).
• Reviewing correspondence received in our capacity as Registered Office and discussing with you.

The large majority of our clients use our office address as their registered office address.

Completion of Annual Return

It is a legal requirement for all companies to prepare and submit their annual statutory accounts.

Another legal requirement for UK companies is that they submit an annual return each year. This document provides certain details about a company including information on its directors, secretary and shareholders. In addition, the annual return will note the current registered office address.

Every company director and secretary has a personal responsibility to ensure that all statutory documents are delivered to the Registrar as and when required by the Companies Act. Failure to deliver documents on time is a criminal offence. On conviction, a director or secretary could end up with a criminal record and a fine of up to £5,000 for each offence.

For all Registered Office clients, we assist the directors by preparing the Annual Return ready for the director's signature and onward submission to Companies House, ensuring that their personal responsibility in this matter is fulfilled.
